PURPOSE The purpose of this Agreement is to set forth the terms and conditions under which the Marketer will provide marketing services to the Company in exchange for a commission on new clients and hourly salary generated through the efforts of IHA.2. COMMISSION STRUCTURE In consideration for the Services, the Company of [NAME] agrees to pay the IHA of Charlotte a commission of fifteen percent (15%) on the net sales revenue generated directly from the Marketer’s efforts. The Company of [NAME] agrees to pay the IHA of Charlotte a 300 Euro fixum for the technical set-up.4. DEFINITIONS For purposes of this Agreement: “Net Sales Revenue” means the total revenue from sales and onboarded clients generated through the Marketer’s efforts.5. PAYMENT TERMS The Company of [NAME] will calculate and pay commissions on a basis of 2 weeks at the 1st and 15th of each month. Commission payments will be made within 1-3 work days after the 1st and 15th of each month based on the net sales revenue reported for that period. The Company will provide a statement detailing the calculation of the commission with each payment.6. TERM AND TERMINATION This Agreement will commence on the date first written above and will continue for 3 month unless terminated earlier as provided herein to the other party. Upon termination, the Company will pay the Marketer any earned commissions due up to the effective date of termination.7. CONFIDENTIALITY The Marketer agrees to keep confidential any proprietary or sensitive information obtained from the Company during the term of this Agreement and not to disclose such information to any third party without the Company’s prior written consent.8. INDEPENDENT CONTRACTOR The Marketer is an independent contractor and not an employee of the Company. Nothing in this Agreement will be construed to create an employer-employee relationship, a partnership, or a joint venture.9. LIABILITY The Marketer agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from the Marketer’s performance of the Services, except in cases of gross negligence or willful misconduct by the Company.10. AMENDMENTS This Agreement may only be amended or modified by a written document signed by both parties.11. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings.
